Terms of Service

Please read these Terms carefully before using the Proof platform. By creating an account or using the Service, you agree to be bound by these Terms.

1. About ProofWorks Studio and These Terms

1.1 Who We Are

ProofWorks Studio is a software company based in California. These Terms govern your access to and use of the Proof platform, including all associated web applications, APIs, tools, features, and services (collectively, the "Service") accessible at proofworks.studio.

1.2 Scope

These Terms of Service ("Terms") constitute a legally binding agreement between you and ProofWorks Studio. They govern all aspects of your use of the Service and should be read alongside our Privacy Policy, which is incorporated by reference.

1.3 Updates

We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

2. Beta Program Disclosure

2.1 Current Beta Status

The Proof platform is currently operating in public beta. Beta software is provided "as is" and may contain bugs, errors, incomplete features, or unexpected behavior.

2.2 What Beta Means for You

By accessing the Service during the beta period, you acknowledge that: features may be added, modified, or removed without notice; the Service may experience downtime or data loss; pricing and access tiers are subject to change before general commercial release; beta access may be transitioned to a paid tier with reasonable notice; and ProofWorks Studio is not liable for losses arising from beta software limitations.

2.3 Feedback

By submitting feedback, bug reports, or feature suggestions, you grant ProofWorks Studio a perpetual, irrevocable, royalty-free license to use and build upon that feedback without obligation or compensation.

3. Eligibility and Account Registration

3.1 Eligibility

To use the Service, you must be at least 18 years of age, have legal authority to enter into binding contracts, and not be prohibited from receiving services under applicable law.

3.2 Account Registration

You may register using Google OAuth or another supported authentication method. You agree to provide accurate, complete, and current registration information. You are responsible for all activity that occurs under your account.

3.3 Account Security

You are responsible for maintaining the confidentiality of your credentials. You agree to notify ProofWorks Studio immediately of any unauthorized access to your account.

3.4 Business Accounts

If you register using a company email domain, your account may be automatically associated with other users from your organization who register with the same domain.

4. Description of the Service

4.1 What Proof Does

Proof is a SaaS operations platform purpose-built for creative agencies, real estate media companies, production studios, marketing agencies, and small businesses. It provides tools for operational management, team coordination, business analytics, and workflow optimization.

4.2 Core Tool Categories

The Service includes tools across: Media (QA, sorting, blending, timeline, direction), Training (AI consultation, team training), Social (content calendar, grid preview), Business (Agency X, goals, overhead, metrics, pricing, market intelligence), Team (gear management, certification tracking), and Operations (crew dispatch, booking management).

4.3 Informational Purposes Only

All data, analytics, and outputs generated by the Service — including market data, financial projections, pricing recommendations, efficiency scores, and mileage calculations — are provided for informational purposes only. They do not constitute financial, legal, investment, tax, or professional advice of any kind.

5. Subscription Plans, Billing, and Payment

5.1 Subscription Plans

ProofWorks Studio offers Solo, Studio, Agency, and Lifetime subscription tiers. Free trial and beta access periods may be offered at our discretion.

5.2 Billing

Subscriptions are billed monthly or annually via the payment method on file. By providing a payment method, you authorize ProofWorks Studio to charge applicable fees.

5.3 Price Changes

We reserve the right to change pricing at any time with at least 30 days' notice to existing subscribers. Continued use after a price change constitutes acceptance.

5.4 Refund Policy

Monthly plan subscribers may request a full refund within 7 days of their first charge. After 7 days, all fees are non-refundable except as required by law. Annual subscriptions and Lifetime Plan purchases are non-refundable.

5.5 Lifetime Plan

The Lifetime Plan grants permanent access to Agency-tier features for the duration of the Proof platform's active operation. If the Service is discontinued, Lifetime Plan holders will receive no less than 90 days' notice. Lifetime access does not include white-label, API resale, or redistribution rights.

6. Acceptable Use Policy

6.1 Permitted Use

You may use the Service solely for your own lawful internal business operations in accordance with these Terms.

6.2 Prohibited Uses

You agree not to: resell, sublicense, or redistribute the Service; reverse engineer any component of the Service; scrape data in any automated manner without permission; use the Service to build a competing product; introduce malicious code; attempt unauthorized access to any system or user data; impersonate any person or entity; share account credentials with unauthorized individuals; or use the Service in any way that could damage or impair our infrastructure.

6.3 Consequences

Violations may result in immediate suspension or termination of access without refund, and ProofWorks Studio reserves the right to pursue available legal remedies.

7. Your Data and Content

7.1 Your Ownership

You retain full ownership of all data, content, and information you upload or generate within the Service. ProofWorks Studio does not claim ownership of your User Content.

7.2 License to ProofWorks Studio

You grant ProofWorks Studio a limited, non-exclusive, royalty-free license to access, store, process, and display your content solely to the extent necessary to provide and improve the Service.

7.3 Data Retention

Upon account cancellation, ProofWorks Studio will retain your data for 30 days during which you may request an export. After this period, your data may be permanently deleted.

8. Intellectual Property

8.1 ProofWorks Studio Ownership

The Service, including all software, code, design, UI, AI integrations, and associated intellectual property, is owned exclusively by ProofWorks Studio and protected by applicable intellectual property laws.

8.2 Limited License to You

ProofWorks Studio grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription period, solely for internal business operations.

8.3 Trademarks

"Proof," "ProofWorks Studio," "proofworks.studio," and associated logos are trademarks of ProofWorks Studio. You may not use these marks without prior written permission.

9. AI-Powered Features — Important Disclaimers

9.1 AI Features in Proof

The Service includes AI-powered tools including Consultation X, Director X, QA X, and Sort X, powered by third-party AI providers including Anthropic (Claude) and OpenAI.

9.2 AI Output Disclaimer

AI-generated outputs are not professional advice. Consultation X outputs do not constitute legal, financial, accounting, tax, or HR advice from a licensed professional. All AI outputs should be reviewed by a qualified human professional before being relied upon for material business decisions.

9.3 No Guarantee of Accuracy

AI models can produce inaccurate, incomplete, or contextually inappropriate outputs. ProofWorks Studio does not warrant the accuracy or fitness of any AI-generated output for any particular purpose.

9.4 No Privileged Relationship

Use of AI-powered consultation features does not create any attorney-client, accountant-client, financial advisor-client, or other professional-client relationship between you and ProofWorks Studio.

10. Third-Party Integrations

10.1 Google Calendar (Dispatch X)

By connecting Google Calendar, you authorize ProofWorks Studio to read calendar event data including titles, descriptions, dates, times, locations, and attendees. Drive time estimates and crew assignment recommendations are informational only and do not constitute professional dispatch or logistics advice.

10.2 Mapping and Location Services

Drive time and distance data from Google Maps, Mapbox, or OpenStreetMap are estimates only and may not reflect actual conditions. Mileage calculations should be verified against IRS guidelines and your organization's reimbursement policies.

10.3 Real Estate Market Data (Market X)

Market X displays publicly available real estate data for informational and market awareness purposes only. It does not constitute investment advice, appraisal, or professional market analysis. Do not rely on this data for investment or transactional decisions without independent verification.

10.4 Payment Processing

Payments are processed by Stripe, Inc. and subject to Stripe's Terms of Service. ProofWorks Studio does not store full payment card numbers.

11. Team Accounts and Multi-User Access

11.1 Admin Responsibilities

Team administrators are responsible for ensuring all team members comply with these Terms, managing user access appropriately, and promptly removing access for members who no longer require it.

11.2 Data Isolation

ProofWorks Studio enforces strict data isolation between organizations. Your organization's data is never accessible to another organization's workspace.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. PROOFWORKS STUDIO DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT OR OUTPUT WILL BE ACCURATE OR RELIABLE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROOFWORKS STUDIO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION. PROOFWORKS STUDIO'S TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100. DURING THE BETA PERIOD, IF YOU ARE USING THE SERVICE ON A FREE BASIS, PROOFWORKS STUDIO'S LIABILITY IS ZERO.

14. Indemnification

You agree to indemnify and hold harmless ProofWorks Studio, its officers, employees, and advisors from any claims, damages, or expenses (including attorneys' fees) arising from your use of the Service in violation of these Terms, your User Content, your violation of any applicable law, or any business decisions made based on Service outputs.

15. Termination

15.1 By You

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

15.2 By ProofWorks Studio

We reserve the right to suspend or terminate your access at any time for material violation of the Acceptable Use Policy, fraudulent activity, or conduct that poses a risk to the Service or its users.

15.3 Survival

Sections covering Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law survive termination.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law provisions.

16.2 Dispute Resolution

We encourage resolving disputes informally first. If a dispute cannot be resolved within 30 days of written notice, both parties agree to pursue resolution through binding arbitration or other mutually agreed means in California. Nothing in this section prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction.

16.3 Class Action Waiver

To the maximum extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration against ProofWorks Studio. All disputes must be brought on an individual basis.

16.4 Exceptions

Either party may seek emergency injunctive relief in state or federal courts of California for matters involving intellectual property infringement, unauthorized access, or breach of confidentiality.
